These Terms and Conditions ("Terms") govern access to and use of the websites, products, and services operated by ErisAI ("ErisAI", "we", "us", or "our"), including our Synapse platform and any related applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility & Accounts

You must be legally capable of entering into a binding contract to use the Services. If you create an account on our behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except where permitted by applicable law;
• use the Services to build a competing product or to train a competing AI model;
• interfere with, disrupt, or place undue load on the Services or the infrastructure that supports them;
• use the Services to generate, store, or distribute unlawful, infringing, defamatory, or harmful content; or
• circumvent any access controls, rate limits, or security measures.

3. AI-Generated Output

Our Services, including Synapse, use artificial intelligence to generate responses, summaries, and other output based on the information available to the system. AI-generated output may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for independently verifying any output before relying on it for decisions of legal, financial, medical, safety-critical, or other consequential nature. The Services do not constitute professional advice.

4. Intellectual Property

The Services, including all software, models, designs, text, graphics, and other content we provide (excluding content you submit), are owned by ErisAI or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you to access and use the Services, no other rights are granted, whether by implication, estoppel, or otherwise.

5. Customer Content

You retain ownership of any data, documents, or other content you submit to the Services ("Customer Content"). You grant ErisAI a limited licence to host, process, and use Customer Content solely to provide, maintain, and improve the Services in accordance with our Privacy Policy. You are responsible for ensuring you have the necessary rights to submit any Customer Content.

6. Third-Party Services

The Services may integrate with or rely on third-party infrastructure and model providers. We are not responsible for the availability, accuracy, or performance of third-party services, and your use of those services may be subject to additional terms provided by the relevant third party.

7. Fees & Payment

Where a paid plan, licence, or engagement applies, fees, invoicing, and payment terms will be set out in a separate order form, statement of work, or commercial agreement between you and ErisAI. Fees are non-refundable except as expressly stated in that agreement or required by applicable law.

8. Termination

We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, or if required to do so by law. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ErisAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of these Terms will not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE, unless otherwise required by applicable law or a separate agreement between the parties.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services or for legal, regulatory, or operational reasons. We will update the "Last updated" date above when we do so. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
